1. Acceptance of Terms

By accessing, downloading, registering for, or using the Estora property operations platform and related services (collectively, the "Platform"), you ("User", "you," or "your") confirm that you have read, understood, and agree to be legally bound by these Terms and Conditions ("Terms") and our Privacy Policy.

If you do not agree with any part of these Terms, you must immediately discontinue use of the Platform. Your continued use following any amendments constitutes acceptance of the updated Terms.

2. About Estora & Herakon Lab

Estora is a product of Herakon Lab, a technology company registered under Nigerian law. The Platform is powered by the Korvia Core Engine — a proprietary financial and property operations infrastructure designed for African real estate markets.

Estora provides software-as-a-service (SaaS) tools for online rent collection, tenant management, AI-assisted maintenance triage, Nigerian tenancy law compliance, service charge collection, and property financial reporting. Estora is not a bank, law firm, or licensed financial institution. All payment processing is conducted through licensed Nigerian Payment Service Providers (PSPs) and commercial bank partners.

3. Eligibility & Account Registration

To use the Estora Platform, you must:

• Be at least 18 years of age and legally capable of entering into binding contracts under Nigerian law.
• Be a registered entity or individual operating lawfully in Nigeria or any other supported jurisdiction.
• Provide accurate, current, and complete registration information, including your full legal name, valid email address, and phone number.
• Maintain and update your account information to keep it accurate and current.
• Not register multiple accounts for purposes of circumventing platform restrictions or policies.

You are solely responsible for all activities conducted under your account and for maintaining the confidentiality of your login credentials. You must notify us immediately at security@estora.com.ng if you suspect any unauthorised access.

4. Platform Services

Subject to these Terms, Estora grants you a limited, non-exclusive, non-transferable licence to access and use the Platform for your property management operations. The Platform includes but is not limited to:

• Automated online rent invoicing and collection via dedicated virtual accounts.
• AI-powered maintenance ticket triaging and contractor dispatch workflows.
• Automated generation of legally compliant digital rent receipts.
• Nigerian state-by-state tenancy law guides, statutory notice templates, and AI legal research tools.
• Service charge, utility billing, and estate management tools.
• Financial reporting dashboards and landlord remittance ledgers.
• Mobile application access for Android and iOS devices.

5. Payment Processing & Virtual Accounts

Estora facilitates rent collection through licensed Nigerian Payment Service Providers including Paystack, Moniepoint, Remita, and licensed commercial banks. By enabling payment features on the Platform, you acknowledge and agree that:

• Virtual account numbers issued through Estora are provided by licensed banking partners and governed by their respective terms.
• Estora acts as a technology intermediary only and does not hold, store, or lend funds.
• Settlement timelines (typically T+1 business day) are subject to banking partner processing schedules.
• Transaction disputes must first be raised with Estora support before being escalated to the banking partner or regulatory authority.
• Any fraudulent transaction, misrepresentation, or money laundering activity will be reported to the Nigerian Financial Intelligence Unit (NFIU) and relevant law enforcement.

6. Landlord & Property Manager Obligations

Landlords and property managers using the Platform agree to:

• Provide accurate and complete property, tenant, and lease information on the Platform.
• Comply with all applicable Nigerian state and federal tenancy laws including mandatory rent receipt issuance.
• Not use the Platform to harass, intimidate, or engage in unlawful self-help evictions of tenants.
• Not collect advance rents in excess of the statutory maximum permitted by applicable state laws.
• Ensure that lease agreements, service charge structures, and maintenance charges are reasonable, disclosed, and legally enforceable.

7. Tenant Obligations

Tenants accessing the Platform agree to:

• Pay rent and service charges on agreed due dates using authorised Platform payment channels.
• Submit accurate maintenance tickets with truthful descriptions and photographic evidence.
• Not use the tenant portal to submit false, malicious, or abusive communications directed at landlords or property staff.
• Notify the landlord or property manager of any security breaches, property damage, or urgent maintenance issues promptly.

8. Prohibited Conduct

You must not use the Estora Platform to:

• Engage in money laundering, fraud, or any illegal financial activity.
• Upload malware, harmful code, or scripts that disrupt platform operations.
• Attempt to gain unauthorised access to another user's account or data.
• Harvest or scrape Platform data for competitive intelligence or third-party resale.
• Impersonate another person, organisation, or Estora representative.
• Use the AI legal assistant to draft documents intended to harm, defraud, or illegally evict tenants.

9. Intellectual Property

All intellectual property rights in the Estora Platform, including software, designs, content, the Korvia Core Engine architecture, trademarks, trade names, and brand assets are the exclusive property of Herakon Lab. You are granted no ownership rights by accessing the Platform.

You retain ownership of the property, tenant, and financial data you input into the Platform. By submitting data, you grant Estora a limited licence to process that data solely for the purpose of delivering the Platform services to you.

10. Limitation of Liability

To the fullest extent permitted by Nigerian law, Estora and Herakon Lab shall not be liable for any indirect, incidental, consequential, or special damages arising from your use of or inability to use the Platform, including loss of rental income, data loss, or reputational harm.

Our total aggregate liability to you in respect of any claim arising from these Terms or use of the Platform shall not exceed the subscription fees paid by you to Estora in the three (3) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Estora, Herakon Lab, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from your violation of these Terms, applicable Nigerian law, or the rights of any third party.

12. Termination & Suspension

Estora reserves the right to suspend or permanently terminate your account at any time without prior notice if you breach these Terms, engage in fraudulent activities, or where required by law enforcement authorities.

Upon termination, your licence to use the Platform ceases immediately. You may request an export of your property and financial data within 30 days of account termination.

13. Governing Law & Dispute Resolution

These Terms are governed by and shall be construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising out of or in connection with these Terms shall first be referred to mediation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Lagos, Nigeria under the Arbitration and Conciliation Act.

14. Amendments

Estora reserves the right to modify these Terms at any time. We will notify registered users of material changes via email and in-app notification at least 14 days prior to the amendments taking effect. Your continued use of the Platform following the effective date constitutes acceptance of the revised Terms.
